TERMINAL3 MEXICO (END USER) TERMS OF SERVICE

This Terms of Service (‘Agreement’) is a contract between TERMINAL3, Avenida Bonampak, esq Uxmal MZ 27 LT 01-02, UC79, Cancun, México, its affiliates and subsidiaries (hereinafter referred to as “Terminal3” “us” or “our”) and You (this term shall include all variations including “Your”, “Yours”) and governs Your use of Terminal3 Services. By accessing or using Terminal3 Services, You acknowledge that You accept all of the terms and conditions contained in this Agreement. You should read all of these terms carefully. You agree that these Terms of Service form a binding legal contract between You and Terminal3, including the additional terms and conditions and policies as may be reference herein.

This Agreement constitutes an electronic record within the meaning as provided under the Applicable Law. This electronic record is generated by a computer system and does not require any physical or digital signatures.

WHAT WE DO

Terminal3 provides an integrated monetization suite including an application programming interface and supporting infrastructure enabling You to make payments and alternative payments for goods and/or services purchased by You from the Publisher (the “Terminal3 Service”).

TERMINAL3 PAYMENTS SOLUTION

Terminal3 has partnered with various third-party global payment processing companies to provide online payment and billing solutions which includes mobile payments, e-wallets, pre-paid cards, payment kiosks, debit cards, credit cards, bank transfers and more. These payment solutions can be used to process Your transactions for purchase of Digital Content from Publisher, in-game payments, subscriptions in all the global markets from within the game or using our Payment Widget. In order to avail the Terminal3 Payments Solution, Your use of the Terminal3 services is subject to compliance with these terms of services and Third-Party terms and conditions applicable to your payment, purchase and use of Digital Content. Please read the Terms and Conditions published by these Third-party entities before availing any Terminal3 Service.

DEFINITIONS

  • Applicable Law: This Agreement is subject to all valid present and future laws, regulations, rules and orders of Governmental Authorities now or hereafter having jurisdiction over the Parties, this Agreement, or the services performed, or the facilities utilized under this Agreement.
  • Corporations: means any third-party payment processor or provider with which Terminal3 has a direct Agreement to provide services, or card networks including Visa, Mastercard, American Express and any ATM or debit network, and the other financial service card organizations.
  • Digital Content/Products: shall refer to any content that exists in the form of digital data including but not limited to games, features, software and other incidental products and services being offered for sale by Publisher through Terminal3 Services.
  • End User: shall refer to You, purchasing the Digital Content by using Terminal Payments Solution for payment.
  • Intellectual Property: means all of the following owned by Terminal3, Publisher, Corporations or any third Party, as the case maybe: (a) filed and registered trademarks, service marks, trade names, logos and goodwill associated therewith; (b) patents, patentable inventions, computer programs, source code and software; (c) databases; (d) trade secrets; (e) copyrights in all works, including software programs; and (f) domain names(g) marks, source code, object code, data, works, including but not limited to look & feel, games, layouts, information, text, data, music, video, images, scripts, designs, graphics, button icons, instructions, and illustrations.
  • Publisher: shall refer to third-party entities that sells / offers for sale Digital Content including online / offline games, software, etc. on the Terminal3 Platform or entities that use Terminal3 Payments Solution for fulfilling transactions with End Users.
  • Terminal3 Platform: shall refer to the online digital e-commerce platform and supporting infrastructure provided by Terminal3, including its website, allowing End Users to purchase Digital Content and services being offered for sale by Publishers.
  • Website: refers to our Terminal3 website available at https://www.terminal3.com
  • Publisher Platform: shall refer to the website / application or any other online platform of a Publisher which allows Users the option to make purchase of Digital Content and pay for it using the Terminal3 Services.

BUYING FROM PUBLISHERS

You agree, understand and acknowledge that the Terminal3 Platform is an online e-commerce platform that enables End Users to purchase products listed by Publishers and facilitates Payments between End Users and Publishers by providing them Terminal3 Services.

RELATIONSHIP BETWEEN PARTIES

You agree and acknowledge that Terminal3 is only a digital content distribution e-commerce platform and a facilitator of payments between You and the Publisher and is not and cannot be a party to or control in any manner products involved in any transactions on the website. Accordingly, the offer and acceptance of sale of products listed by the respective Publishers on the website shall be a strictly a bipartite contract between End User and the Publisher.
